Auction Terms & Conditions
- BV WOODLAND’S INTERNATIONAL SALES, whose registered office is situated at 2500 Lier, 5 Bossen, registered at the Crossroads Bank for Enterprises under KBO-number 0848.624.393, organises public auctions of jumping horses and foals. WOODLAND'S INTERNATIONAL SALES sells lots which it owns or lots in which it is entitled to participate as owner. WOODLAND'S INTERNATIONAL SALES may also offer lots for sale from third parties. In the latter case, WOODLAND'S INTERNATIONAL SALES merely acts as an intermediary in the trade between the buyer and the seller.
- Participation in this auction implies the explicit and unreserved knowledge and acceptance of these auction terms and conditions.
- The live auction will be broadcast on the internet via clipmyhorse and/or website woodlandsinternational.eu. Before participating in the auction, the buyer wishing to bid online must register via the website www.woodlandsinternational.eu in the manner specified on the auction website by WOODLAND'S INTERNATIONAL SALES. This registration is considered an unconditional acceptance of the auction terms and conditions. Furthermore, by participating in an auction, the buyer declares to be authorised to perform legal acts and to be entitled and competent to conclude a purchase agreement. WOODLAND'S INTERNATIONAL SALES reserves the right to refuse the registration and participation in an auction at any time or to terminate them unilaterally. The buyer is obliged to ensure that all information, to be provided upon registration, by the bidder to WOODLAND'S INTERNATIONAL SALES is complete, correct, and truthful and the buyer guarantees the accuracy and completeness of the information provided by them. Should this information change at any time, the buyer shall be obliged to immediately inform WOODLAND'S INTERNATIONAL SALES of these change(s). The username and password used by the buyer for an auction are strictly personal and may not be transferred by a buyer to third parties. If the buyer suspects that someone else knows his or her password, the bidder must notify WOODLAND'S INTERNATIONAL SALES immediately. The buyer shall be liable for and bound to all transactions taking place at an auction and resulting from the use of his/her password and/or username. This also applies in case of misuse if the buyer has been careless with his/her username and password.
- The buyer is aware and explicitly agrees that the services available through the website are limited to making it technically possible to follow the auction via the internet and to participate in the auction as a bidder. WOODLAND'S INTERNATIONAL SALES does not have and does not assume any responsibility for the organisation and proceedings of the auction through its website (e.g., but not limited to: failure of the website during the auction or delay in the operation of the website during the auction).
- WOODLAND'S INTERNATIONAL SALES shall make every effort to secure and protect its systems against loss of data and/or against any form of unlawful use and shall take appropriate technical and organisational measures for this purpose. In their dealings with WOODLAND'S INTERNATIONAL SALES, the buyer is obliged to adequately safeguard the computer and / or any other device he / she uses to access the auction website, and as usual protect it against viruses or other illegal programmes or files that may be spread via the Internet.
- Lots will be sold in their condition at the time of the auction. The prospective buyer will have the opportunity to subject each lot to the desired examination prior to his / her purchase.
- Bids shall be by auction.
- Payments shall be made in EURO.
- The lots will be allocated to the highest bidder at the end of the auction. The settlement is calculated as follows with respect to the buyer: the knocked down price + auction commission (10% on the knocking down price) + the applicable VAT on the knocked down price and the auction commission, is the settlement amount. By submitting a bid, the bidder commits to paying the settlement amount after allotment.
- If the Buyer withdraws, for whatever reason, WOODLAND'S INTERNATIONAL SALES BVBA shall be entitled to resell the lot. The private buyer/consumer shall have a 14-day right of withdrawal. The initial buyer shall be liable to pay WOODLAND'S INTERNATIONAL SALES the costs related to this resale, at least the difference in the purchase price which was not realised during the resale.
- If the buyer cannot be identified, WOODLAND'S INTERNATIONAL SALES shall also be entitled to resell the lot.
- The provisional allocation shall take place under the condition precedent of approval by WOODLAND'S INTERNATIONAL SALES BV. Immediately after the allotment, the auctioneer shall request WOODLAND'S INTERNATIONAL SALES to confirm its eventual approval in order to obtain the final allocation of the lot.
- The settlement amount shall be due immediately upon allocation. Ownership of the lot shall pass upon receipt by WOODLAND'S INTERNATIONAL SALES of payment by the buyer.
- WOODLAND'S INTERNATIONAL SALES BV shall issue an invoice to the buyer, which shall be payable in full and must be transferred to the account of WOODLAND'S INTERNATIONAL SALES prior to the delivery of the lot to the buyer.
- If WOODLAND'S INTERNATIONAL SALES BVBA has not received full payment from the buyer within 5 working days after the auction, the buyer shall be required by law, in addition to the other amounts due to and for the benefit of WOODLAND'S INTERNATIONAL SALES, to pay (a) interest of 1% per month on the total settlement amount due, to be calculated from the day of the auction until the day of full payment and (b) additional damages in the amount of 10% on the settlement amount.
- If WOODLAND'S INTERNATIONAL SALES has not received the full payment from the buyer within 5 working days after the auction, WOODLAND'S INTERNATIONAL SALES shall furthermore be entitled to regard the purchase as dissolved without notice of default, with the option for WOODLAND'S INTERNATIONAL SALES to charge a lump sum compensation of 20% on the settlement amount (to proceed with the sale).
- Any liability with regards to the auctioned lots will pass to the buyer immediately after allocation. Following the auction and payment, the buyer and WOODLAND'S INTERNATIONAL SALES shall make arrangements for delivery in mutual consultation. Delivery shall take place in Belgium, at 2500 Koningshooikt, Beekstraat 110, unless otherwise agreed in writing between the parties. Any transport costs will be borne by the buyer.
- WOODLAND'S INTERNATIONAL SALES reminds the buyer that the he / she has the option of taking out insurance immediately after purchase.
- WOODLAND'S INTERNATIONAL SALES BV shall in the last instance settle all disputes that may arise during the auction operations.
- The buyer cannot derive any rights from the fact that WOODLAND'S INTERNATIONAL SALES has selected the lots.
- The information relating to the lots offered for sale only aims to give an impression of the qualities of the lots, without being considered to be complete and without giving any guarantees. WOODLAND'S INTERNATIONAL SALES shall not be liable for possible printing errors and/or material mistakes in the catalogue or erroneous statements on its website.
- WOODLAND'S INTERNATIONAL SALES shall not be liable for visible and/or hidden defects. In any case, the liability of WOODLAND'S INTERNATIONAL SALES shall be limited to the settlement amount paid by the buyer and further limited to the amounts covered by its insurance company.
- The embryos offered for sale were implanted in a recipient mare and are sold with a 45-day gestation guarantee. In addition to the settlement amount, the buyer of an embryo shall pay a deposit of EUR 3,000.00 for the recipient mare, which will be returned to the buyer if the buyer delivers the recipient mare back to WOODLAND'S INTERNATIONAL SALES in perfect condition and no later than 180 days after the birth.
- In case of export, WOODLAND'S INTERNATIONAL SALES will refund the VAT paid by the buyer to the buyer if he /she can produce a valid export document within 3 months of the auction.
- WOODLAND'S INTERNATIONAL SALES reserves the right to amend these auction terms and conditions without prior notice. Should one or more of the clauses mentioned in the auction conditions not be or become legally valid, the remaining clauses shall remain legally valid. In that case, a new clause will take the place of the said invalid clause, which will correspond to the old invalid clause as far as possible with regard to content, scope and purpose.
- In the event of a dispute, only the Dutch text shall apply. The translation of these auction terms and conditions into a language other than Dutch is for information purposes only.
- WOODLAND'S INTERNATIONAL SALES will settle any disputes that may arise during or about the auction in the last instance.
- Any dispute arising from this auction and its consequences shall be governed exclusively by Belgian law, to the exclusion of the provisions of the Vienna Convention on Contracts for the International Sale of Goods. The Commercial Court of Antwerp, Mechelen Division and the Court of First Instance of Antwerp, Mechelen Division shall have exclusive jurisdiction to deal with any disputes that may arise.
